Current Scope of Practice

Michael A. Connor, one of Horizon Law Group LLP’s founding partners, focuses his practice primarily in the areas of corporate finance and securities and commercial and business litigation. Mr. Connor started his legal career at Morrison & Foerster LLP, an American Lawyer Top 100 firm, where he gained substantial experience representing companies in a wide range of corporate and securities transactions. He currently specializes in transactions involving mergers, acquisitions, private capital sourcing, strategic alliance, joint venture, corporate formation and maintenance and SEC compliance and registration. Mr. Connor also has considerable knowledge and experience in the automotive industry and represents car dealerships with corporate transactional and litigation matters.

Representative Matters

Mr. Connor has recently assisted clients in the acquisition of a Hyundai/Isuzu franchise, the acquisition of a Nissan franchise, and in the sale of a Mazda franchise. He was also instrumental in assisting a Kia dealer in raising $1.3 million of subordinated unsecured acquisition debt. Mr. Connor has also recently assisted clients with merger and acquisition deals involving the purchase of computer companies, health industry supply companies, and companies in the gaming industry. Additionally, Mr. Connor recently guided clients through $250 million and $225 million Rule 144A debt offerings. On the private financing side, he has been instrumental in helping clients raise $4.25 million in equity and secured debt (multi-tranche) financing, $2 million in equity (Common Units) financing, and $0.8 million in Series A preferred equity financing.

Affiliations, Activities and Accomplishments

Mr. Connor is admitted to the California Bar (1996). He is a member of the Orange County Bar Association and is also a member of the Order of Coif.

Education

Mr. Connor earned his B.A (1992) in Political Science and his B.A. (1992) in History from the University of California, San Diego. He earned his J.D. (1996), magna cum laude, Order of the Coif, from the University of San Diego School of Law. While in law school, Mr. Connor served as the Assistant Editor of the San Diego Law Review and as Ninth Circuit Governor for the American Bar Association Law Student Division. He maintained the highest cumulative grade point average in his class for two of his three years in law school and was the recipient of the Merit Achievement Scholarship from 1993-1996.
